Terms of Service – Djuko

1. Purpose of the Terms of Service

These Terms of Service (ToS) govern access to and use of the Djuko platform (hereinafter referred to as "the Platform"), published by FINXIA, which enables users to submit song requests ("Requests") to partner DJs in exchange for a financial contribution.By using the Platform, the User acknowledges having read, understood, and accepted these ToS without reservation.

2. Platform Functionality

The Platform connects users (hereinafter "Users") with DJs, allowing Users to submit Requests to be played during live events.Each DJ has a personal dashboard to receive, accept, or decline Requests. The price of each Request is freely set by the DJ.

3. Payments and Transactions

Payments for Requests are processed via the Stripe payment solution.FINXIA acts solely as a technical intermediary, facilitating transactions between Users and DJs. A commission is charged on each transaction, clearly indicated before the confirmation of a Request.Funds collected (excluding the Platform commission) are fully transferred to the DJ, who assumes full legal and fiscal responsibility for these amounts.

4. DJ Responsibility

The DJ is fully responsible for managing the Requests they accept through the Platform.By accepting a Request, the DJ commits to:
           - Play the requested song within one hour of accepting the Request.
           - Play the song at the physical location where the Request was made (event venue).
If these commitments are not honored:
           - The DJ shall fully refund the amount received for the corresponding Request.
           - FINXIA reserves the right to process this refund directly and without prior consent from the DJ.
Furthermore:
           - Any Request not played and without a status update within 10 days of submission will be automatically                 refunded to the User.
Once a DJ proceeds to Cash Out their earnings via the Platform, they will no longer be able to interact with the associated Requests. This Cash Out is considered a final validation of the DJ's performance for the relevant period.

5. Refund Policy and Platform Rights

FINXIA reserves the right to process a Request refund in the following cases:
           - In case of non-compliance with these ToS by the DJ,
           - In case of a justified User complaint,
           - At its sole discretion, to ensure service quality and User satisfaction.
These refunds may be processed without prior consultation with the DJ. The DJ expressly acknowledges that FINXIA holds no liability regarding the musical services themselves.

6. Financial Flow and DJ Obligations

Amounts collected for Requests (after deducting the Platform commission) are transferred to the DJ.The DJ is solely responsible for managing the tax and social obligations related to the funds received via the Platform. FINXIA acts solely as a technical facilitator of payments.

7. Platform Liability

The Platform provides a technical service for connection and payment management. It does not guarantee the quality or execution of musical performances by DJs.
FINXIA disclaims any liability in the event of:
           - Non-performance or delay of a Request,
           - Refusal of a Request by a DJ,
           - Technical issues beyond its control (network outages, Stripe malfunctions),
           - Disputes between DJs and Users.

8. Intellectual Property

All content on the Platform (logos, graphics, content, source code) is protected by intellectual property rights.Any reproduction, distribution, or unauthorized use is strictly prohibited.

9. Personal Data Protection

Data collected by the Platform is processed in accordance with applicable regulations (GDPR). Users have rights of access, correction, and deletion of their personal data.

10. Modification of the Terms of Service

FINXIA reserves the right to modify these ToS at any time. Users will be informed of any updates, which will take effect upon publication.

11. Governing Law and Jurisdiction

These ToS are governed by French law. Any disputes regarding their interpretation or execution will fall under the jurisdiction of the courts where FINXIA is headquartered.
